Terms of Service

Welcome to RootCore Digital. By accessing our website, using our services, or contracting with us for development and hosting solutions, you agree to be bound by these Terms of Service.

1. Services

RootCore Digital ("we", "us", "our") provides software engineering services, including but not limited to:

  • Custom Web & Mobile Application Development
  • Enterprise Software Architecture
  • Automation & Artificial Intelligence Solutions
  • Managed Hosting & Cloud Infrastructure

2. Project Engagement

Specific project scope, deliverables, timelines, and fees will be defined in a separate Statement of Work (SOW) or Project Proposal. In the event of a conflict between these Terms and a specific SOW, the SOW shall govern regarding that specific project.

3. Intellectual Property

Client Ownership: Upon full payment of all fees, the Client is granted exclusive ownership of the custom code, designs, and content created specifically for their project, excluding our background technology and open-source components.

RootCore Background Technology: We retain all rights to our pre-existing code libraries, developer tools, and reusable frameworks ("Background Technology") used to deliver the services. We grant the Client a perpetual, non-exclusive, royalty-free license to use such Background Technology as necessary to operate the custom software.

4. Hosting & Infrastructure

If you subscribe to our hosting services:

  • Uptime: We strive for 99.9% uptime but do not guarantee uninterrupted service due to the nature of third-party cloud providers (e.g., AWS, Cloudflare).
  • Security: We implement industry-standard security measures (SSL, firewalls, regular updates). However, the Client is responsible for maintaining the security of their user accounts and credentials.
  • Acceptable Use: You may not use our hosting infrastructure for illegal activities, spamming, or hosting malicious content.

5. Payment Terms

Unless specified otherwise in an SOW:

  • Development fees are typically billed in milestones (e.g., 50% upfront, 50% on completion).
  • Hosting and maintenance fees are billed monthly or annually in advance.
  • Late payments may incur a surcharge of 1.5% per month.

6. Confidentiality

We agree to keep all non-public information provided by the Client confidential and use it solely for the purpose of providing services. Likewise, the Client agrees not to disclose our proprietary methodologies or pricing structures.

7. Limitation of Liability

To the maximum extent permitted by law, RootCore Digital shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from the use of our services. Our total liability shall not exceed the amount paid by the Client to us in the 12 months preceding the claim.

8. Termination

Either party may terminate a service agreement with 30 days' written notice, subject to payment for all work completed up to the termination date. Immediate termination may occur in cases of breach of contract or illegal activity.

9. Governing Law

These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall be resolved in the courts of [Your Jurisdiction/City].
